
Dividend
The Group's performance has enabled Rallye to pursue a policy of capital distribution, according to which a portion of the company's net income is distributed to shareholders every year in the form of a dividend. The dividend amount is decided at the AGM on the recommendation of the Board of Directors.
The dividend and its date of payment (detachment date) are proposed by the Board of Directors and subject to the shareholder approval at the Annual General Meeting.
To obtain the dividend, you have to have purchased at least one Rallye share 3 business days before the detachment date.
For holders of administered registered shares and bearer shares, your financial intermediary will credit your account according to the number of shares you own.
For holders of ordinary registered shares, BNP will wire the amount to your bank account on the date the dividend is paid.
A dividend of €1.83 per share has been proposed at the Annual Shareholders' Meeting of May 19,2010, stable compared with 2008. An interim dividend of €0.80 per share was paid on October 2, 2009. The balance thus amouts to €1.03 per share will be paid on June 18, 2010. Shareholders have been given the option for 50% of the balance to be paid in shares, thus €0.515. Subscription price is €23.47.
75.25% of the rights have been exercised in favour of this option.
The result of the dividend reinvestment option allows Rallye to increase its shareholders' equity by € 16.2 millions with the inssuance of 688,754 new shares (1.6% of its share capital), which will be delivered and admitted for trading on Euronext Paris on June 18, 2010.
The new shares issued will carry dividend rights from January 1st, 2010 and be assimilated to the existing shares of the company.
The cash dividend will be paid on June 18, 2010.
Rallye’s dividend is expected to vary with the Company’s earnings and the dividend paid by Casino. The company reserves the right to make another interim dividend payment in 2010.
The dividend limitation is five years, as defined by civil law. Unclaimed dividends are paid to the State.
